Terms of Use

These Terms of Use (the "Terms") are an agreement between you and Elion Labs LLC ("Elion", "we", "us") for the use of Overwatch (the "App"), our app for desktop and mobile that lets you talk to the AI model of your choice using your own API key for that model's provider. By downloading or using the App, you agree to these Terms. If you don't agree, don't use the App.

1. What Overwatch is

Overwatch is a client for third-party AI model APIs — including Anthropic (Claude), OpenAI (GPT and Codex), Google (Gemini) and others, as well as models you run locally on your own machine. The App itself does not include or provide the AI. To use it, you supply your own API key for each provider you want to use, and the App sends your prompts to that provider and shows you its replies. Your use of each model is also governed by that provider's own terms and usage policies.

2. Bring your own key

• You are responsible for obtaining a valid API key from each provider you use, and for keeping it secure.
• You are responsible for all usage and any charges a provider bills to your key. Elion does not charge you for model usage and does not control any provider's pricing.
• You agree to follow each provider's terms and usage policies — for example Anthropic's usage policies — when using their models through the App.

3. Subscriptions and billing

The free Casual plan and the mobile app are free to use. On desktop, Overwatch offers optional paid subscriptions that unlock more of the app. Bringing your own provider keys (Section 2) is separate from any subscription: a subscription is for the App itself and does not include any model API usage, which each provider still bills to your own key.

• Plans and price. Paid plans are Pro (US$29/month), Pro+ (US$89/month), Team (US$49 per user/month) and Team+ (US$120 per user/month), in U.S. dollars, with a five-seat minimum on Team plans. Any free trial, and its length, is shown at the point of purchase.
• Payment processing. Subscriptions are sold and processed by Polar (Polar Software Inc.), our Merchant of Record. Polar handles payment, invoicing, and any applicable sales tax or VAT, and appears on your statement. We do not receive or store your full card details.
• Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price, unless you cancel before the period ends.
• Cancel anytime. You can cancel at any time from your billing portal or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Refunds. First-time subscribers may request a full refund within 14 days; otherwise, except where required by law, partial periods are not refunded. See our Refund Policy.
• Price changes. We may change subscription prices; changes apply only to future billing periods, and we'll give notice as required by law.

4. Acceptable use

You agree not to use the App to:

• Break the law, or infringe anyone's rights;
• Violate any model provider's usage policies or any other applicable third-party terms;
• Attempt to disrupt, reverse-engineer for a competing service, or misuse the App or the services it connects to;
• Generate or distribute content that is harmful, abusive, or otherwise prohibited by the platforms and services involved.

5. Your content

Your prompts, your chats, and anything you attach are yours. We don't claim ownership of them. How they're handled is described in our Privacy Policy. You are responsible for what you send to any model and for how you use the replies.

6. The App is provided "as is"

The App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We don't warrant that the App will be uninterrupted, error-free, or that any model's output will be accurate, complete, or suitable for any purpose. Responses are generated by third-party models and can be wrong; use your own judgment before relying on them.

7. Limitation of liability

To the fullest extent permitted by law, Elion will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or API charges, arising out of or related to your use of the App. This includes charges billed to any provider key you use. Our total liability for any claim relating to the App is limited to the amounts you paid us for the App in the twelve months before the claim.

8. Changes and availability

We may update, change, or discontinue the App or any feature at any time. We may also update these Terms; if we do, we'll change the date at the top of this page. Continuing to use the App after a change means you accept the updated Terms.

9. Termination

You can stop using the App at any time by deleting it. We may suspend or end your access if you breach these Terms.

10. Apple App Store

If you download the App from the Apple App Store, the following also applies, and you acknowledge it:

• These Terms are between you and Elion only, not with Apple. Apple is not responsible for the App or its content.
• Your license to use the App is a limited, non-transferable license to use it on any Apple-branded device you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for the App. Any questions, support requests, or claims about the App go to Elion, not Apple, at the contact below.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the App, and any other claims are Elion's responsibility.
• Apple is not responsible for addressing any claims by you or a third party relating to the App, including product-liability, legal/regulatory, or intellectual-property claims.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting", and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

11. Google Play

If you download the App from Google Play, your use is also subject to the Google Play Terms of Service. These Terms are between you and Elion only; Google is not a party to them and is not responsible for the App. Support requests and claims about the App go to Elion at the contact below.

12. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, except where local mandatory consumer-protection law applies to you.
